These Terms of Service (“Terms”) explain how I provide my proofreading and editing services and what you can expect when working with ClearStyle English.
My annual subscription covers proofreading and editing of your recurring corporate materials, including:

My edits focus on clarity, tone, flow, and natural-sounding English, while also correcting errors in spelling and grammar. I do not provide translation or content creation services, and I do not alter factual content unless specifically requested.
Services are provided on an annual subscription basis. The subscription fee is agreed in writing before the subscription begins and covers all materials within the standard scope (see Section 1) for the twelve-month period.
The annual fee is payable in advance at the start of the subscription period. The fee is fixed for the period and does not change unless the agreed scope changes.
Invoices are issued in your company's preferred currency wherever possible, agreed in advance. Where possible, I provide local account details so you can pay by domestic transfer rather than international SWIFT.
Payment is due within 14 days of the invoice date, unless otherwise agreed.
Payment is normally made by bank transfer to the account details provided on the invoice.

Work that falls outside the standard subscription scope (see Section 1) is quoted and agreed separately in writing before it is carried out.
You are responsible for ensuring all materials you provide are accurate, lawful, and original.
You should review the edited documents before publication to ensure they reflect your intended meaning.
I confirm turnaround for each item as it's submitted. Because materials often arrive around reporting deadlines, please send items with as much notice as possible so I can prioritise appropriately. If an urgent turnaround is needed, I'll confirm availability as soon as I can.
All client materials are treated as strictly confidential and are accessed only by me, Matthew Bryan, founder of ClearStyle English.
I do not use subcontractors or share client materials with third parties.
If requested, I am happy to sign a client-provided non-disclosure agreement (NDA), or I can provide my own pre-signed NDA for your review.
You retain full ownership of all documents and content you provide.
ClearStyle English claims no ownership or intellectual property rights over your materials at any time.
New clients may cancel the subscription within the first three months of the subscription start date and receive a refund of the fee corresponding to the remaining months of the twelve-month period. The portion of the fee corresponding to the first three months is non-refundable.
After the first three months, the annual subscription is non-refundable for the remainder of the period, but may be discontinued at the next annual renewal by giving notice before the renewal date.
The three-month cancellation option applies to a client's first subscription period. Renewed or subsequent subscription periods are not subject to it.

While I take great care to provide accurate and professional work, I cannot be held liable for any direct, indirect, or consequential loss, cost, or damage arising from the use of edited materials. My total liability is limited to the amount paid for the relevant service.
These Terms are governed by the laws of New South Wales, Australia, and any disputes will be subject to its courts.
